Densatum — End User License Agreement

This End User License Agreement ("Agreement") is between you and DIODE LOGIC, S.L. ("Diode Logic", "we"), Avenida de Manoteras 24, planta 2, 28050 Madrid, Spain, and governs your use of the Densatum software for macOS, including updates (the "Software"). By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Definitions

• Personal Use means use by an individual, on devices they own or control, for purposes that are not on behalf of, or for the benefit of, any business, organization, or public body.
• Commercial Use means any use that is not Personal Use — including use by or within a company, a sole trader or freelancer in the course of their trade, a non-profit, an educational institution, or a public administration.
• License Key means the signed key issued by Diode Logic that identifies a licensed user.

2. Free license for Personal Use

Diode Logic grants you a free, non-exclusive, non-transferable license to install and use the Software for Personal Use on any number of macOS devices you own or control. The Software is fully functional for Personal Use; no License Key is required.

3. License for Commercial Use

Commercial Use requires a paid license. Each license is per named user: it permits the named individual to use the Software for Commercial Use on the devices they use for their work. A License Key may not be shared between people. An organization needs one license per person who uses the Software.

A Commercial Use license is perpetual for the major version of the Software purchased (e.g. all 1.x releases) and includes the updates Diode Logic makes available for that major version. Licenses are sold through Diode Logic's authorized reseller, which acts as the seller of record and issues the invoice; purchase terms, refunds and taxes are governed by the reseller's terms of sale at the time of purchase.

Using the Software for Commercial Use without a license is a breach of this Agreement. The Software does not disable itself; it relies on you to comply. Please do.

4. What you may not do

You may not: (a) sell, rent, lease, sublicense or redistribute the Software or any License Key; (b) share a License Key with another person, or publish one; (c) remove or alter any proprietary notice; (d) reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits this despite this limitation; (e) circumvent, or attempt to circumvent, the License Key mechanism; (f) use the Software to violate any law or the rights of others.

5. Ownership

The Software is licensed, not sold. Diode Logic and its licensors retain all rights, title and interest in the Software, including all intellectual property rights. The Software includes third-party open-source components licensed under their own terms, listed in the Third-Party Notices distributed with the Software; those terms apply to those components.

6. Privacy

The Software does not collect or transmit personal data. Its only network activity is an optional once-a-day check of Diode Logic's website for a newer version and for a list of revoked License Keys, which sends no information about you or your files and can be switched off in Settings. License Keys are verified on your device; nothing is sent to a server. See the Privacy Policy at https://diodelogic.com/en/legal/privacy/.

7. No warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Diode Logic does not warrant that the Software will be error-free or uninterrupted, or that it will meet your requirements. Some jurisdictions do not allow the exclusion of implied warranties; in that case this section applies to the fullest extent permitted by law. Nothing in this Agreement limits the rights you have as a consumer under mandatory law.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIODE LOGIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, BUSINESS OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DIODE LOGIC'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR TEN EUROS (€10) IF YOU PAID NOTHING. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including for death or personal injury caused by negligence, or for fraud.

Always keep backups. The Software creates, modifies and extracts files; errors, including errors in third-party components, can cause data loss.

9. Term and termination

This Agreement is effective until terminated. It terminates automatically if you breach it. Upon termination you must stop using the Software and delete all copies. Sections 4, 5, 7, 8, 10 and 11 survive termination.

10. Governing law

This Agreement is governed by the laws of Spain. Any dispute shall be submitted to the courts of Madrid, Spain, without prejudice to any mandatory consumer-protection rules that give you the right to bring proceedings where you live.

11. General

This Agreement is the entire agreement about the Software and supersedes prior agreements. If any provision is held unenforceable, the rest remains in effect. Diode Logic may publish updated terms for new versions of the Software; the terms distributed with a version apply to that version.
